TERMS & CONDITIONS
These Terms & Conditions (“Terms”) govern the use of www.protect-mats.com (“Website”) and the sale of products and services (“Products”) by Verdego US Inc., doing business as ProtectMats (“ProtectMats,” “we,” “us,” or “our”). By accessing our Website, placing an order, or using our Products, you (“you,” “your,” “Customer”) agree to be legally bound by these Terms.
If you do not agree to these Terms, you may not use our Website or purchase our Products.

2. ORDERS
Orders placed through our Website constitute an offer to purchase. We reserve the right to accept, reject, or cancel any order in our sole discretion, including suspected reseller or unauthorized distributor orders.
Order confirmation occurs only when you receive written confirmation from us.
3. PRICES & PAYMENT
All prices are listed in U.S. dollars (USD). Sales tax and shipping are added at checkout unless otherwise specified. Payment is due in full at the time of order, unless otherwise specified.
We accept the payment methods shown at checkout.
4. SHIPPING & DELIVERY
We ship to addresses within the United States. Estimated shipping times are provided at checkout but are not guaranteed.
We are not liable for delays outside our reasonable control, including but not limited to carrier delays, weather events, labor strikes, pandemics, supply chain disruptions, or force majeure circumstances.
Risk of loss passes to the Customer upon delivery to the carrier.
5. RETURNS & REFUNDS
5.1 Custom Products
All custom-made Products, including but not limited to table covers, splat mats, protective mats cut to size, painting mats, and other made-to-order items, are non-returnable and non-refundable, except in cases of confirmed manufacturing defect, shipping damage, or incorrect fulfillment by ProtectMats. The Customer is expected to take this into account during the ordering process and to carefully check the dimensions of the desired product before placing the order. Unsure between different thicknesses or prints? You can order multiple samples at the modest price of $1 each, allowing you to compare different materials/colors.
5.2 Standard Products
Non-custom Products may be returned within fourteen (14) days of delivery if unused, unaltered, and in resalable condition. Return shipping costs are the Customer’s responsibility unless the return is due to our error. If a returnable Product has not been shipped back to ProtectMats within fourteen (14) days after delivery, the sale is deemed final and no refund will be issued.
5.3 Defect Reporting
Any claim for incorrect, damaged, or defective Products must be reported within forty-eight (48) hours of delivery to sales@protect-mats.com . Claims must include the order number and photographic evidence.
5.4 Authorization & Refund Process
All returns require prior written authorization from ProtectMats. Unauthorized returns will not be accepted.
Refunds are issued to the original payment method within seven (7) business days of inspection and approval of the returned Product.
We do not accept in-person returns.
5.5 Return Shipping Costs
Return shipping costs are the responsibility of the Customer. If the Product does not conform to the description of the offer, is defective, or was incorrectly fulfilled, ProtectMats will cover the cost of return shipping.
Alternatively, Customers may request a prepaid return label from ProtectMats. If a ProtectMats return label is used, a flat service fee (e.g., $10 for returns within the continental United States) will be deducted from the refund amount.
6. LIMITED WARRANTY & DISCLAIMER
ProtectMats Products are sold “as is” and without warranties, except as expressly stated herein.
We warrant only that Products delivered will substantially conform to the specifications provided by the Customer (within reasonable manufacturing tolerances).
If a Product fails to conform, our sole obligation and Customer’s exclusive remedy shall be, at our discretion, repair, replacement, or refund of the Product.
7. PRODUCT SAFETY & INTENDED USE
ProtectMats Products are designed solely as protective mats and coverings for residential, commercial, or industrial surfaces. By purchasing and using our Products, you agree to the following limitations:

Not edible or drinkable. Products must never be ingested or swallowed..

Not toys. Products are not designed as toys. If used around children (e.g., splat mats, painting mats), they must always be used under adult supervision.

Not medical or safety equipment. Products are not suitable for diagnostic, therapeutic, or protective use in healthcare, laboratories, or safety-critical environments.

Not flame- or heat-proof. Products are not fire-resistant and must not be exposed to open flames, stoves, ovens, or extreme heat.

Limited chemical resistance. While resistant to many household and industrial chemicals, resistance depends on concentration, exposure time, and conditions of use. Certain chemicals (including but not limited to solvents, ammonia, acetone, acids, and bases) may damage Products. Customers are solely responsible for determining compatibility.

Not slip-proof. Floor mats, protective mats and table covers may slide on certain surfaces. Customer is responsible for ensuring safe installation and use.

Not protective gear. Protective mats, table covers and floor mats do not prevent injury. Any cutting or sharp tool use remains at the Customer’s own risk.

No modifications. Altering, cutting, or reshaping Products voids all warranties and releases ProtectMats from liability.

Intended use only. Products must be used only as described in product documentation or on our Website. Any misuse, abuse, or unintended application is at Customer’s sole risk.
8. LIMITATION OF LIABILITY
To the fullest extent permitted by law:

ProtectMats shall not be liable for any indirect, incidental, punitive, special, or consequential damages, including but not limited to personal injury, property damage, lost profits, business interruption, or reputational harm.

Our maximum aggregate liability for any claim shall not exceed the purchase price paid for the Product giving rise to the claim.

Customer assumes all risks associated with use or misuse of Products.
9. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless ProtectMats, its affiliates, officers, employees, and agents from any claims, damages, liabilities, costs, or expenses (including attorneys’ fees) arising from:

misuse of Products;

breach of these Terms;

violation of applicable law; or
-
claims by third parties arising from your use of Products.
10. INTELLECTUAL PROPERTY
All content on the Website, including but not limited to text, images, product designs, trademarks, and logos, is the property of ProtectMats or its licensors. Unauthorized use is strictly prohibited.
11. ACCURACY OF INFORMATION
We make reasonable efforts to provide accurate information. However, we do not warrant that Website content, product descriptions, pricing, or availability are error-free. We reserve the right to correct errors or update information at any time without notice.
12. PROHIBITED USES
You may not use our Products or Website for any unlawful purpose, including but not limited to:

violation of intellectual property rights;

uploading viruses or malicious code;

scraping, data mining, or unauthorized access;

harassment, abuse, defamation, or discrimination;

resale or distribution without our prior written consent.
We reserve the right to terminate services and refuse orders for violations of this section.
13. FORCE MAJEURE
We are not liable for delays or failure to perform due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, labor disputes, supply chain disruptions, or acts of God.
14. GOVERNING LAW & DISPUTE RESOLUTION
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of laws principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the purchase, use, or performance of Products shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The seat of arbitration shall be the State of Delaware.
You expressly waive the right to a jury trial and the right to participate in class actions, consolidated actions, or representative proceedings.
15. MISCELLANEOUS

Severability: If any provision is held invalid, the remaining provisions remain enforceable.

Entire Agreement: These Terms constitute the entire agreement between you and ProtectMats, superseding prior agreements.

Assignment: We may assign our rights and obligations without restriction. Customers may not assign without our prior written consent.

Headings: Section titles are for convenience only and do not affect interpretation.

Survival: All limitations of liability, indemnification, and warranty disclaimers survive termination of these Terms.
